These Terms of Service ("Terms") govern your use of our enterprise resource planning software, services, and related applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.
HERA provides a revolutionary universal ERP platform built on a 6-table architecture designed to handle infinite business complexity with zero schema changes. Our Services include multi-tenant SaaS authentication, universal API access, AI-powered automation, and comprehensive business management tools.
2. Acceptance of Terms
By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Services.
3. Description of Services
HERA provides cloud-based enterprise resource planning software that includes:
- Universal 6-table schema architecture for infinite business modeling
- Multi-tenant SaaS platform with organization-based isolation

- Industry-specific templates and configurations
- Real-time financial reporting and analytics
- Universal API access for custom integrations

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
4. Account Registration
To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

- The HERA Universal ERP platform and software
- The Sacred 6-table architecture and universal patterns
- Smart Code system and DNA components
- All documentation, APIs, and user interfaces
- Trademarks, logos, and brand elements
You retain ownership of all data you input into the Services. By using the Services, you grant us a limited license to process your data solely for the purpose of providing the Services to you.
9. Subscription & Billing
Our Services are offered on a subscription basis with various pricing tiers:
- Subscriptions are billed monthly or annually in advance
- All fees are non-refundable except as required by law
- Prices may change with 30 days' notice
- You authorize automatic renewal and billing
- Late payments may result in service suspension
Free trials, if offered, automatically convert to paid subscriptions unless cancelled before the trial period ends.
10. Termination
Either party may terminate these Terms:
- You may cancel your subscription at any time through your account settings
- We may suspend or terminate your access for violations of these Terms
- We may terminate for non-payment of fees
- Upon termination, your right to use the Services ceases immediately
- We will provide data export capabilities for 30 days after termination
11. Warranties & Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS OF DATA
- UNINTERRUPTED OR ERROR-FREE OPERATION
We do not warrant that the Services will meet all your requirements or that defects will be corrected. You use the Services at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or system failures
- Third-party actions or content
Our total liability shall not exceed the fees paid by you in the twelve months preceding the event giving rise to liability.
13. Indemnification
You agree to indemnify, defend, and hold harmless HERA, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or data processed through the Services
14. Governing Law
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC).
You waive any right to a jury trial and agree that any disputes will be resolved individually, not as part of a class action.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes through:
- Email notification to your registered email address
- In-app notifications within the Services
- Posting the updated Terms with a new effective date
Continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

Enterprise Addendum
For Enterprise customers with custom agreements, the following additional terms may apply:
- Service Level Agreements (SLAs) with guaranteed uptime
- Dedicated support channels and response times
- Custom data retention and backup policies
- Advanced security features and compliance certifications
- Volume-based pricing and custom billing arrangements
- On-premises deployment options where available
Enterprise agreements supersede these standard Terms where explicitly stated in writing.
